Terms of Service
These terms govern your use of Prism Division. By signing in and using the service, you agree to them.
1. Accounts are by invitation
Prism Division is not open to public self-signup. Accounts are created by us for clients we have agreed to work with. You are responsible for the Google account used to sign in and for anyone you give access to your workspace. Tell us at support@prismdivision.com if you believe someone has access who should not.
2. What the service does
Prism Division produces social content from the brand information and material you give us, presents it to you for approval, and publishes what you approve to the accounts you connected. Content is generated with the help of automated systems, including large language models. It can be wrong. The review step exists precisely so that a person checks before anything is public.
3. Acceptable use
You agree not to use the service to:
- publish content that is unlawful, defamatory, harassing, hateful, or that infringes anyone's rights;
- upload material you do not have the rights to use, including photographs of people who have not agreed to appear;
- impersonate another business or person, or make claims about your services that you know to be false;
- break the terms of the networks you connected — Meta, TikTok and Google each have their own rules, and they apply to everything published through us;
- attempt to access other clients' data, disrupt the service, or reverse-engineer it.
We may suspend an account that is being used this way. Where we can, we will tell you first.
4. Your content stays yours
The photos, videos, brand material and information you send remain yours. The content we produce for you — captions, edits, clips, montages — is yours as well, and you may use it anywhere, including after you stop being a client. You grant us only the licence we need to run the service: to store your material, process it to produce content, and publish approved pieces to the accounts you connected. That licence ends when the material is deleted.
5. Publishing on your behalf
We publish to your connected accounts as your agent, and only after you approve a piece. Approval is yours to give and yours to withhold: nothing is published from your account that you have not approved. You are the publisher of what goes out under your name and remain responsible for it. You can disconnect any account at any time, which stops all future publishing to it immediately.
6. Third-party networks
The service depends on Meta, TikTok and Google. They change their platforms, their limits and their rules without consulting us. If a network revokes access, changes an API, or refuses a post, we will tell you what happened, but we cannot guarantee delivery to a platform we do not control.
7. Availability
We aim to keep the service running continuously, but we do not promise uninterrupted availability. There will be maintenance, and there will occasionally be failures. The service is provided "as is" and "as available", without warranties of any kind beyond those that cannot be excluded by law.
8. Fees
Plans and prices are agreed with you directly before your account is opened. Limits on production — pieces, animations, voice-overs and montages — are the ones described on the plans page and are enforced by the product.
9. Limitation of liability
To the fullest extent permitted by law, Prism Division is not liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue, lost data or lost business opportunity, arising out of your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose. Nothing in these terms limits liability for fraud or for anything else that cannot be limited by law.
10. Ending the agreement
You may stop using the service and close your account at any time by writing to us. We may end an account for a material breach of these terms, or with reasonable notice for any other reason. On closure we delete your data as described in the privacy policy, and you may ask for a copy of your material first.
11. Changes to these terms
If we change these terms, we will update the effective date above and notify account holders by email before the change takes effect. Continuing to use the service after that means you accept the new terms.
12. Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The courts of Florida have exclusive jurisdiction over any dispute arising from them.
